Nu Surveilance Software Registration *

BY INSTALLING NU SURVEILLANCE 360, A NU SURVEILLANCE SOFTWARE PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, AND THAT YOU UNDERSTAND AND AGREE THAT YOU ARE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU WILL NOT BE ALLOWED TO INSTALL THE SOFTWARE.

THE NU SURVEILLANCE SOFTWARE PRODUCT ("SOFTWARE") INSTALLED FROM NU SURVEILLANCE TECHNOLOGIES MEDIA IS A PROPRIETARY PRODUCT OF NU SURVEILLANCE TECHNOLOGIES COMMUNICATIONS INC., ATLANTA, GEORGIA AND ARE PROTECTED BY COPYRIGHT LAWS AND INTERNATIONAL TREATY, YOU MUST TREAT THE SOFTWARE LIKE ANY OTHER COPYRIGHTED MATERIAL, EXCEPT THAT YOU MAY MAKE AN ARCHIVAL COPY OF THE SOFTWARE FOR EACH COPY WHICH IS LICENSED TO YOU.

THIS AGREEMENT IS A LEGAL CONTRACT BETWEEN YOU, THE END USER (YOU OR LICENSEE), AND NU SURVEILLANCE TECHNOLOGIES COMMUNICATIONS INC. GOVERNING YOUR USE OF THE SOFTWARE. INSTALLING THIS SOFTWARE ACKNOWLEDGES YOUR ACCEPTANCE OF THIS AGREEMENT.

THE NU SURVEILLANCE SOFTWARE PRODUCT IS LICENSED BY NU SURVEILLANCE TECHNOLOGIES COMMUNICATIONS COMPANY, NOT SOLD.

TERMS AND CONDITIONS

1. SOFTWARE OWNERSHIP
NU SURVEILLANCE TECHNOLOGIES LLC. ("NU SURVEILLANCE TECHNOLOGIES LLC.") retains all right, title, and interest to the SOFTWARE on the installation disk, and all copies of the SOFTWARE, regardless of the media or form on or in which the SOFTWARE or other copies may exist, including copies that are made in violation of the terms of this License. NU SURVEILLANCE TECHNOLOGIES LLC. does not sell any property rights in the SOFTWARE; NU SURVEILLANCE TECHNOLOGIES LLC. grants to LICENSEE the right to use this SOFTWARE by means of this End-User Software License ("License"). By installing the SOFTWARE, you agree to become bound by the terms and conditions of this License Agreement. This License is not a sale of the original software or of any copy.

2. LICENSEE OWNERSHIP
The LICENSEE owns the media onto which the licensed software is downloaded, but NOT the software. NU SURVEILLANCE TECHNOLOGIES LLC. retains the title and ownership of the software recorded on all media.

3. GRANT OF LICENSE.
This License permits you to use one copy of the specified version of the SOFTWARE on any single computer, provided the SOFTWARE is in use on only one computer at any time.
If you have multiple licenses for the SOFTWARE then at any time you may have as many copies of the SOFTWARE in use as you have Licenses.

The SOFTWARE is "in use" on a computer when it is loaded into the temporary memory (i.e., RAM) or installed into the permanent memory (e.g., hard disk, CD ROM or other storage device) of that computer except that a copy installed on a network server for the sole purpose of distribution to other computers is not "in use."

If the anticipated number of users of the SOFTWARE will exceed the number of applicable Licenses, then you must have a reasonable mechanism or process in place to assure that the number of persons using the SOFTWARE concurrently does not exceed the number of Licenses. 
If the SOFTWARE is permanently installed on the hard disk or other storage device of a computer (other than a network server) and one person uses that computer more than 80% of the time it is in use, then that person may also use the SOFTWARE on a portable or home computer.

The software is subject to change without notice to LICENSEE. Updated versions of the software may be created or issued by NU SURVEILLANCE TECHNOLOGIES LLC. from time to time. At its sole option, NU SURVEILLANCE TECHNOLOGIES LLC. may make such updates available to LICENSEE or authorized transferees of the License.  Notwithstanding, NU SURVEILLANCE TECHNOLOGIES LLC. is not obligated to, provide updates or upgrades to the SOFTWARE ("UPDATES"), for free or subject to payment of additional license fees.

Use of any UPDATES is subject to the terms of this License. By installing, copying or otherwise using any such UPDATES, you agree to be bound by the terms of this License with respect to such UPDATES.

4. RESTRICTIONS
You or LICENSEE may NOT: (a) distribute copies of the software or accompanying materials to others; (b) copy, modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative software based on the software; or (c) copy, modify, adapt, translate, or create derivative documentation based on the SOFTWARE or video surveillance equipment with which the SOFTWARE is bundled.  

This License Agreement is your proof of license to exercise the rights granted herein and must be retained by you. You may not rent or lease the SOFTWARE, but you may transfer your rights under this License Agreement on a permanent basis provided you transfer this License Agreement, the SOFTWARE and all accompanying written materials, retain no copies, and the recipient agrees to the terms of this Agreement.  You may not reverse engineer, decompile, or disassemble the SOFTWARE. If the SOFTWARE is an update, any transfer must include the update and all prior versions.

5. COPYRIGHT.
This SOFTWARE and the accompanying documentation are protected by Copyright. Copying the software and/or documentation is specifically illegal under federal Copyright Law. You may be held legally liable for any copyright infringement, which is caused or encouraged by your failure to abide by the terms of this License Agreement. You may not modify, adapt, translate, reverse-engineer, or otherwise create derivative software or documentation from the licensed software/documentation.

6. NO WARRANTY
THE SOFTWARE PRODUCT IS LICENSED TO YOU "AS IS" AND ANY USE OF THE SOFTWARE PRODUCT IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NU SURVEILLANCE TECHNOLOGIES and its suppliers disclaim all warranties and conditions, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. 

7. CUSTOMER REMEDIES.
NU SURVEILLANCE TECHNOLOGIES'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY SHALL BE, AT NU SURVEILLANCE TECHNOLOGIES'S OPTION, EITHER (A) RETURN OF A PORTION OF THE PRICE PAID OR (B) REPLACEMENT OF THE SOFTWARE WITH THE MOST RECENT VERSION OF THE SOFTWARE.  

8. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NU SURVEILLANCE TECHNOLOGIES OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, CORRUPTION OF FILES, LOSS OF BUSINESS INFORMATION OR ANY OTHER PECUNIARY LOSS) REGARDLESS OF CAUSE OR FORM OF ACTION, INCLUDING CONTRACT, TORT OR NEGLIGENCE, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF NU SURVEILLANCE TECHNOLOGIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

9. TERMINATION
This License is effective until terminated, and will automatically terminate without notice to LICENSEE, if LICENSEE fails to comply with any terms of this License. Upon termination, LICENSEE shall immediately return all software, all copies thereof, and all printed and written materials to NU SURVEILLANCE TECHNOLOGIES LLC. at Licensee's expense.

10. SEVERABILITY
If any provision of this Software License is found to be illegal, invalid, or unenforceable, that provision shall not affect the validity or enforceability of this License, and this License shall then be construed in all respects as if such invalid or unenforceable provision were omitted.

LICENSEE AGREES THAT THIS LICENSE IS THE COMPLETE AND EXCLUSIVE STATEMENT CONCERNING THE SUBJECT MATTER OF THE AGREEMENT BETWEEN NU SURVEILLANCE TECHNOLOGIES COMMUNICATIONS COMPANY AND LICENSEE. THIS LICENSE SUPERSEDES ANY PROPOSALS AND PRIOR AGREEMENTS, WHETHER WRITTEN OR ORAL, RELATING TO THE SUBJECT MATTER OF THIS LICENSE AGREEMENT.
